Anthropic taps six Japanese brokers for ¥552.9 billion share sale.
  • Anthropic filed to sell up to $3.5 billion of stock, about ¥552.9 billion, to Japanese investors.
  • Six brokers handle the Japanese tranche, with Mizuho Securities as administrative lead manager.
  • Share count and price are still unset, and the Nasdaq listing under ANT has been applied for but not approved.

Anthropic on Monday lined up six Japanese brokers to sell up to $3.5 billion of stock to local investors, or about ¥552.9 billion.

Mizuho Securities is leading the sale, part of a planned Nasdaq listing under the ticker ANT for the Claude developer.

Mizuho leads as price and size stay blank

The securities registration statement was filed with Japan’s Kanto Local Finance Bureau and posted on EDINET on November 2. The $3.5 billion estimate is at the top end.

The statement says the final amount of the domestic offering will be fixed on a future pricing date. It could differ sharply from that ceiling.

Orders from Japanese investors go to six firms. These are Mizuho Securities, Goldman Sachs Securities, Mitsubishi UFJ Morgan Stanley Securities, Morgan Stanley MUFG Securities, Rakuten Securities and SBI Securities.

The filing said Mizuho is the administrative lead manager and Mitsubishi UFJ Morgan Stanley is the manager. Two blanks are left as neither share count or price for the Japanese portion was determined at submission.

Anthropic said on June 1 that it had confidentially submitted a draft of a Form S-1 to the U.S. Securities and Exchange Commission. On October 26, it released the S-1 to the public.

Nasdaq listing under ANT still awaits approval

Trading of the Company’s Class A common stock is expected to commence on the Nasdaq Global Select Market under the ticker symbol ANT. The Japanese filing says that the listing has been applied for, but not approved.

Some investors have said the company could be worth $1.5 trillion or so.

Japan investors purchased $2.2 billion of the $75 billion raised at SpaceX’s June IPO, the largest ever.

The SEC filings also detail public offerings in the United Kingdom, Canada, Australia, Switzerland and certain European Economic Area member states. Anthropic was established in 2021 by Dario Amodei and a team of former OpenAI researchers, and builds the family of AI models, Claude.

Proceeds will be used for working capital, operating costs and capital expenditures, including computing resources and infrastructure, the registration statement said. Recruiting and retaining specialized staff is also on the list.

Anthropic could also spend some money on acquisitions or investments in other companies, products and technologies. The company stated that it has no material deal of that nature in place.

According to Cryptopolitan, citing the public S-1, Anthropic generated $16.3 billion in revenue in the first six months of 2026, up from $1.2 billion a year ago and posted an operating loss of $693 million.

On Hyperliquid, Entropy operates a perpetual futures contract, ANTH, that tracks Anthropic’s estimated valuation ahead of listing.

Entropy says that the product is only a derivative. By trading it, traders do not get any share ownership, voting rights, dividends or entitlement to an IPO allocation.
